Providing pro bono assistance to charitable organizations (or nonprofit agencies, regardless of tax-exempt status, who serve the disadvantaged) is a valuable and important service to the community. However, these organizations operate with many constraints under federal tax law and relevant State statutes given their dedication to public benefit purposes. This session is designed to help practitioners Avoid some of the most common pro bono mistakes! Three exempt organizations law practitioners will discuss typical errors they've seen made by pro bono attorneys when setting up and advising charities, as well as in assisting with frequently-seen transactions and other events for nonprofits in which it's important that pro bono counsel know not to overlook the need for interdisciplinary counsel. ALICE ANDERSON has formed, represented, restructured and advised exempt organizations both large and small. Her experience with nonprofits began in 1996 with complex transactions and litigation involving health care organizations. Ms. Anderson taught nonprofit law at the graduate level as an Adjunct Professor with the University of San Francisco's Institute for Nonprofit Organization Management from 2001 through 2003. She worked with top-echelon national and international nonprofits for Silk, Adler & Colvin for four and a half years, and has since worked with nonprofits in her own practice, Anderson Nonprofit Strategies. Her publications include articles in the Journal of Taxation and the Journal of Taxation of Exempt Organizations, and she and Sheila Warren recently co-authored an article appearing in the ABA's Business Law Today magazine, entitled Advising a Charity? Avoid Common Fumbles by the Unwary Pro Bono Lawyer.
EVE ROSE BORENSTEIN, ESQ., is a partner in Borenstein and McVeigh Law Office (BAM!), a Minnesota law firm serving nonprofits, and the base of Eves national tax practice. Eve also operates a teaching and speaking consultancy offering instruction on nonprofit and exempt organization mandates, Eve Rose Borenstein, LLC. She works to assist diverse nonprofit organizations with tax-exemption qualification, corporate planning and compliance. The majority of her law practice consists of representing clients before federal and State regulators (on audit and/or qualification and classification issues; through June 2009 she has represented more than 800 organizations before the IRS). In addition, Eve volunteers extensively with multiple professional committees, including the American Bar Associations Tax Section Committee on Exempt Organizations, from which she serves as a liaison to the AICPAs Exempt Organization Technical Resource Panel. Through both those groups, and as an individual, she was integrally involved in the IRS 2007-2008 Form 990 Redesign Project.
SHEILA WARREN has extensive experience advising in the philanthropic sector. She has counseled hundreds of charitable organizations and social enterprises, including public charities, private foundations, social welfare organizations, business leagues, churches, and schools, in the areas of tax and corporate law. Prior to solo practice, she worked with prominent national charitable organizations at Cravath, Swaine, & Moore LLP, Silk, Adler & Colvin, and Coblentz, Patch, Duffy & Bass LLP. Ms. Warren is an Adjunct Professor at the Golden Gate University Law School, teaching "Tax Exempt Organizations" in the LLM program. She has contributed articles to numerous publications, speaks regularly on the topics of nonprofit law and diversity, and currently serves on the Boards of four prominent charitable organizations. Ms. Warren received her A.B. with honors from Harvard College and her J.D. from Harvard Law School.
