Like the sale of goods, sometimes the share of ownership in a company must be discounted due to difficulty in finding a buyer. Liquidation costs of equity in private businesses may be substantial, and the equity’s value is discounted for that potential illiquidity. Likewise, partial ownership of a private firm may be worth less than proportional share of the total business. This webinar delves into these types of discounts and how they may impact the valuation of your asset.

John Levitske, Senior Managing Director, Ankura Consulting Group
 
John Levitske is a Senior Managing Director at Ankura, focused on business valuation and complex financial disputes. He has served as a senior advisor to companies, owners, executives, and legal counsel in business disputes, shareholder disputes, and M&A transactions regarding issues of valuation, finance, damages, and accounting. John is based in Chicago.

With more than two decades of Big Four public accounting and international consulting experience, John is seasoned in business valuation, financial analysis, economic damage quantification, forensic accounting, retrospective solvency analysis, and post-merger & acquisition accounting calculations. He handles appraisals of healthy and distressed companies for buyouts of shareholders and creditors, transaction planning, estate and gift taxation, financial accounting, bankruptcy proceedings, and litigation disputes.

John has provided consulting and expert witness testimony services and has served as a neutral party in arbitration and mediation. He has testified as an expert witness in the US and Europe in depositions, hearings, bench and jury court trials, and domestic and international arbitration (ICC, SCC, AAA, JAMS, FINRA, and ad hoc arbitrations) and has served as a neutral arbitrator. In addition, he has rendered binding decisions on disputed matters.

He is co-author of the “Managing Post-Merger & Acquisition Purchase Price Disputes” chapter in the American Bar Association’s 2016 Alternative Dispute Resolution Handbook for Business Lawyers. John has lectured on valuation, financial analysis, and forensic accounting topics to various professional groups, including the American Bar Association, the Chicago Bar Association, the Association of Insolvency & Reorganization Advisors, and DailyDAC-Financial Poise.

In addition, he served as an accounting, finance, and auditing adjunct professor at both the University of Pittsburgh and Point Park University, and as a national exam question writer for both the Uniform CPA Exam and the American Institute of Certified Public Accountants’ Accredited in Business Valuation Exam.

John Fenn,  Senior Managing Director, Hilco Valuation Services

John is a corporate credit specialist with extensive experience in the debt capital markets, both sell side and buy side – focused primarily in the leveraged finance arena. He has been an Institutional Investor ranked Strategist, a reliable Desk Analyst across several Corporate Credit Trading desks, a Portfolio Manager with Global High Yield experience, and a valuation expert serving Alternative Investment managers. He is a hands-on, results-oriented manager with a strong track record of building businesses, investment processes, and best-in-class teams. His unique investment perspective comes from combining fundamental credit work on hundreds of companies - including documentation and structuring - along with understanding of macro trends and how they affect fair value and market performance. He has also held Series 7, 63, and 24 licenses.

Nene Glenn Gianfala, President/Shareholder, Chaffe & Associates, Inc.

Ms. Gianfala is a Vice President of the Valuation Advisory group with 12 years of experience in accounting, corporate finance, and business valuations.  She joined Chaffe & Associates, Inc. as a Financial Analyst Intern in June 2007, and upon completion of the internship, joined the company.  She is a Certified Public Accountant (CPA), Accredited in Business Valuations (ABV), Certified in Entity and Intangible Valuations by the American Institute of Certified Public Accountants (CEIV), and an Accredited Senior Appraiser in Business Valuations with a specialty in Intangible Assets (ASA-BV/IA) by the American Society of Appraisers.
Ms. Gianfala performs intellectual property and intangible asset valuations for purchase price allocations, impairment testing, internal intangible asset management, portfolio valuation, and litigation support.

Ms. Gianfala provides business valuation services to public and private companies for estate, gift and income tax planning, financial reporting, corporate planning, employee stock ownership plans, and litigation.

Prof. Jakki Mohr, Professor, University of Montana College of Business

Dr. Jakki Mohr is the Regents Professor of Marketing and the Poe Family Distinguished Faculty Fellow at the University of Montana. She received her Ph.D. in Marketing from the University of Wisconsin-Madison. Prior to joining the University of Montana in 1997, Mohr was an assistant professor at the University of Colorado, Boulder. Before beginning her academic career, she worked in Silicon Valley for Hewlett-Packard (hp).

Jakki’s expertise is overcoming the challenges companies face in developing and commercializing break-through innovations, including a broad range of technologies ranging from scientific innovations to innovations in restoration and ecology. Her interests at the intersection of business and nature has led to several funded projects, including analysis of innovations in the field of ecological restoration to restore degraded landscapes; companies’ valuations of natural capital; and companies’ efforts to become “net positive” (beyond net zero). In research sponsored by the Marketing Science Institute, she studies how companies use biomimicry (innovations inspired by nature, based on underlying biological mechanisms) to solve technical and engineering challenges. Her recent focus on the use of data analytics to drive innovation led to invitations to deliver executive education programs on “Harnessing the Power of Data Analytics for Innovation.”  For example, she was an Erskine Fellow at the University of Canterbury (Christchurch, New Zealand) in November 2018.  She also mentors start-ups, particularly women-owned start-ups, with a passion for entrepreneurship and technology. She served on the National Academies of Sciences Committee to overcome barriers to electric vehicle deployment in the United States (2012-2015), which included an invitation to participate in a think-tank workshop at KAPSARC in Saudi Arabia. Her early research focused on organizational communication between partners in strategic alliances/ partnerships and between distribution channel members.

Mohr's research has received national awards and appears in the Journal of Marketing, the Strategic Management Journal, the Journal of the Academy of Marketing Science, the Journal of Product and Innovation Management, Restoration Ecology, the Journal of Public Policy and Marketing, the Journal of Retailing, among others.

An innovator in the field of strategic marketing of disruptive innovations, Mohr achieved international acclaim for Marketing of High-Technology Products and Innovations (2010, 3rd edition, with Sanjit Sengupta and Stanley Slater), used by colleges and universities worldwide (translated into three languages) as well as by managers for executive training sessions. In addition, her book has resulted in invitations to guest-teach at the Drucker School of Management (Claremont Graduate University), ORT University (as a Fulbright Specialist) in Montevideo, Uruguay, as well as universities in Switzerland, Finland, Sweden, India, France, Italy, New Zealand and Slovenia, and to conduct executive education at companies both large (such as Fujitsu) and small.
The winner of numerous teaching awards, including the 2018 Montana Educator of the Year (presented by the State of Montana), the 2008 Outstanding Marketing Teacher Award (presented by the Academy of Marketing Science) and the 2005 Carnegie Foundation for the Advancement of Teaching "Montana Professor of the Year," she also received University of Montana’s Most Inspirational Teacher of the Year in 2002, voted by graduating seniors.
