1. Use of West LegalEdcenter
You acknowledge that the West LegalEdcenter Content and Code displayed or available  the West LegalEdcenter website or on any mobile software application ("West LegalEdcenter") contains information and other material that are protected by copyright, trademark or other proprietary rights of West, a Thomson Reuters business ("West") or other third-party content providers. You agree to comply with any and all restrictions regarding any and all of the Content and Code. No Content or Code from West LegalEdcenter may be copied, republished, uploaded or otherwise distributed. Notwithstanding, you may download one copy of the materials on any single computer for your personal, noncommercial use, as long as all copyright and other proprietary notices remain intact and are prominently displayed. You may not sublicense, transfer or otherwise make available any Content or Code to any third party for commercial purposes or financial gain or use the Content or Code in any other media or in any other location. You may not alter or modify the Content or Code in any way.

2. Termination of Access to West LegalEdcenter
West 's licensors and suppliers reserve the right, at their discretion, to suspend or terminate your access to all or any part of the Content and Code at any time for any reason without prior notice or liability. West 's licensors and suppliers may change, suspend or discontinue all or any aspect of the Content and Code, including the availability, without prior notice or liability.

3. Disclaimer of Warranties
Neither West nor its licensors or suppliers warrants that West LegalEdcenter will be uninterrupted or error free. West and its licensors and suppliers make no warranty, express, implied, statutory or otherwise, and specifically disclaim any implied warranty of merchantability, fitness for a particular purpose, or non-infringement with respect to West LegalEdcenter and/or Content and Code. The availability of the Content and Code depends on many factors, including West 's connection to the Internet, a customer's connection to the internet, the availability of the Internet and the Internet backbone, and equipment that, by its nature, is not fault tolerant. West and its licensors make no guarantee of access to or accuracy of the Content and Code. You expressly assume the entire risk as to the quality and performance of West LegalEdcenter and the accuracy or completeness of the Content and Code including, without limitation, any information about state CLE requirements.

4. Limitation of Liability
In no event shall West or its licensors or suppliers have any liability for any lost profits or lost data or costs of procurement of substitute goods or services or content, or for any indirect, special, incidental or consequential damages, however caused or under any theory of liability. These limitations shall apply whether or not West or its licensors or suppliers have been advised of the possibility of such damage. You agree that the foregoing limitation of liability represents a reasonable allocation of risk. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

5. Westlaw Usage
All usage of Westlaw as a result of linkage from West LegalEdcenter is governed by the terms of the applicable Westlaw subscriber agreement. Users are responsible for all Westlaw fees generated when linking from West LegalEdcenter.

6. Click-Wrap Agreement

7. West LegalEdcenter Guarantee
At West LegalEdcenter, we stand behind our products, our service and you, our customers.  If, for any reason, you are not completely satisfied with the program you selected, and you have not received a Certificate of Completion, we will exchange it for you or issue a full refund.  Your satisfaction is important to us.

Exchanges and Returns
If you wish to exchange or return a program within 180 days of purchase in which a Certificate of Completion was not issued, simply contact us at 1.800.495.9378.  We are unable to issue exchanges or refunds for programs where a Certificate of Completion has been issued.  We do, however, want to know if you are unhappy with the quality of a program.  In these instances, please email our Quality Assurance Department at content@westlegaledcenter.com. Please note that refunds may take up to five business days to process.
