Description: In the first terminated transaction to go to trial during the pandemic--AB Stable v. MAPS--the Delaware Court of Chancery decided important questions around contractual obligations in light of the crisis. Although the decision is limited to the facts of that case, it contains important lessons for M&A practitioners considering deals in light of the pandemic and negotiating future transactions. In this program, a team of the litigators that represented the buyer in AB Stable v. MAPS explain important takeaways from the decision.
 
Presenter Bios  
 
Christopher D. Kercher is a seasoned litigator with experience in complex commercial litigation and arbitration relating to contract disputes, bankruptcy, corporate takeovers, securities, derivatives, employment matters, and debtor and creditor rights. Mr. Kercher regularly represents corporations, investment funds, high net-worth individuals, and officers and directors in major, often bet-the-company, litigation. He has extensive experience litigating on behalf of both plaintiffs and defendants, and providing general legal advice to clients on a range of issues, including the analysis of potential claims. Mr. Kercher was recognized in 2016 by Law360 as a Rising Star in Banking and received the Legal Aid Society Pro Bono Award in 2007.
 
Mr. Kercher is a graduate of New York University School of Law and Cornell University.
 
Rollo Baker is an experienced trial lawyer focused on litigating and trying complex commercial disputes. He has deep and widespread experience in a variety of subject matters, having successfully litigated cases involving commercial real estate, corporate governance, mergers and acquisitions, securities, energy and environmental law, employment law, the False Claims Act, and insurance.  Rollo has extensive experience in Delaware Chancery Court in litigating fraud, MAE, and breach of fiduciary duty cases.
 
Rollo has an active trial practice, having first-chaired or had leading roles in numerous bench and jury trials and arbitrations.  He has been singled out by clients who note that he “is as good as I’ve seen” and that his ability to “drill-down on the witness and to flex in and out of that mode impressed and at times astonished.”  Rollo has been recognized as a New York "super lawyer" for 2019 and 2020, and recently was a runner up for AML's "Litigator of the Week" for a case dispositive victory on summary judgment in an expedited $200 million private equity dispute following his oral argument.​
 
Before joining the firm, Rollo served as a law clerk to the Honorable Mary Ellen Barbera, Chief Judge of Maryland’s highest court.  During law school, Rollo was a student attorney in Georgetown’s Criminal Justice Clinic, where he represented numerous indigent defendants in D.C. Superior Court and before the U.S. Parole Commission.  He was also a senior annual survey editor for the American Criminal Law Review.
 
Jonathan Feder is an associate in Quinn Emanuel’s New York office. He assists clients in crisis situations including representation in all stages of government investigations and prosecutions as well as complex commercial litigation. Jonathan’s practice includes defending a variety of clients facing investigations and prosecutions as well as RICO suits. He has successfully represented individuals and multinational companies in both high-profile and confidential matters. Jonathan has also obtained positive outcomes in complex commercial cases with issues ranging from contract disputes to allegations of fraud.
 
Prior to joining the firm in 2015, Jonathan graduated magna cum laude from University of Pennsylvania Law School, where he also served as an editor on the board of the University of Pennsylvania Law Review.
