Mark W. Rasmussen, Esq. is a partner at Jones Day, where he represents companies, corporate officers, and directors in a variety of matters, including securities and shareholder litigation, regulatory and internal investigations, FCPA compliance, merger litigation, contract disputes, antitrust, ERISA, trade secret claims, and bankruptcy litigation. He has significant experience handling regulatory and internal investigations for corporations and corporate officers and he has investigated and defended matters involving allegations of accounting improprieties and false disclosures, conflicts of interest, FCPA violations, and other misconduct. Mr. Rasmussen has been listed by Texas Super Lawyers as a Rising Star (2016).
David Andrew Kern, Esq. is a partner at Jones Day, where he practices in the areas of corporate finance, corporate governance, and securities laws in U.S. and international settings. He has experience representing issuers and underwriters in initial public offerings and other equity and bond offerings, and also in advising U.S. and foreign private issuer clients on their reporting obligations with the SEC and communications to the public markets. Mr. Kern, a frequent speaker, guest lecturing at the University of Texas at Dallas and elsewhere on securities laws and developments in securities regulation, has been listed by the editors of Texas Monthly in securities and corporate law as a Rising Star (2011-2016).
