One of the most significant of the Georgia Pacific factors states that a reasonable royalty should reflect the outcome of a hypothetical negotiation between a prudent licensor who desired, as a business proposition, to obtain a license to manufacture and sell a particular article, and a licensee who was willing to grant a license. While useful and informative, this factor rarely leads to a unique and well-defined solution. Hence, its application has frequently relied upon the application of an expertÂÂ's judgment. Recent court decisions, however, have demanded that reasonable royalty opinions be based upon more rigorous and factually based analysis. This presentation will explore the implication of recent decisions for the analysis of the hypothetical negotiation, and will demonstrate how appropriate economic analysis can support fairer and more defensible royalty claims.
