This program will provide an overview of the commercial leasing process, beginning with the letter of intent and covering topics critical for lease drafting such as, leasing economics, tenant improvements (and who pays for them) and work letters. Within the area of leasing economics, discussion will address gross leases, triple net leases and the allocation between the parties of operating expenses and taxes, as well as tenant audit rights. This part of the program will also deal with security for lease obligations, such as security deposits and guaranties.
Speakers will thoroughly cover subleasing and assignment from both landlord and tenant perspectives, with discussion on the treatment of mergers, transfers or subleases among tenant affiliates and changes in control. The panel of experts will review the allocation of responsibility between landlord and tenant for conditions in the leased premises, building services and alterations, as well as insurance and indemnity issues.
Another feature of the program is a section on special tenant rights to extend the term, expansion rights and rights of first offer or refusal on additional space. The discussion will include unique issues related to these rights, such as conditions to exercise, procedures for notice/response and, in the case of extensions, the determination of market rent. To illustrate various points in the discussion, the speakers will use sample lease transaction documents that include comments from both the landlord and tenant sides.
