The UK Bribery Act 2010 is due to come into force in 2011, and it will have far-reaching implications for American exporters of products and services and other organizations with any activities in the UK, whether dealing with public or private sector entities worldwide. Even a single transaction in another country may give the UK court jurisdiction over foreign companies and their agents, whatever their nationality.
Modeled on the U.S. Foreign Corrupt Practices Act (FCPA), the UK Act is broader in scope and creates an indirect obligation on organizations that are caught by the scope of the Act to implement and enforce adequate compliance procedures. There are no exceptions for facilitation payments and the fines are unlimited.
