About the Program
This program covers many issues in shareholder agreements, including transfer restrictions, cross-purchase vs. redemption, buy-out triggers, S corporation provisions, ways to determine purchase price in an agreement, estate and gift tax issues, life insurance, voting, and compensation. Materials include over 90 pages of analysis on shareholder agreements, a 66 page set of form provisions to be contrasted with a 26 page form, a checklist, and a way to deal with life insurance in cross-purchase arrangements. The two panelists would welcome audience participation to make this a lively discussion of common practices.
About the Speakers
Steven B. Gorin is a partner with Thompson Coburn LLP. He concentrates his practice in trust and estate law and taxation. He has experience in organizational, tax and succession planning for privately held businesses, insurance and charitable giving. Mr. Gorin frequently speaks to professional associations on estate and tax planning, which includes advising closely-held business owners on how to combine these considerations. He has also written and spoken frequently about the impact of regulations on integrating retirement plan benefits into individuals estate plans and integrating deferred compensation into business succession planning. Mr. Gorin has eight years of prior public accounting experience, including individual and business income tax planning and tax return preparation and personal financial planning. He combines this with trust and estate law to help clients plan for and manage their taxes.
Scott Malin is a member of the wealth strategies practice area at Lathrop & Gage LLP. He practices in the areas of estate planning, business succession planning, probate, taxation and general business law. Mr. Malin is an Adjunct Professor at the Washington University School of Law in the Master's of Taxation Program where he teaches a class in business succession planning. Mr. Malin is a frequent lecturer and speaker on estate planning, business succession planning and tax issues for various organizations including The Missouri Bar, the Bar Association of Metropolitan St. Louis, the University of Missouri-Kansas City, the Chicago Bar Association and The National Business Institute. He has authored articles for such publications as Estate Planning, the Journal of Taxation, the St. Louis Bar Journal, Probate & Property, and Practical Tax Strategies.
