Description: As clients seek to raise capital from different sources and in varied circumstances, attorneys representing companies or practicing corporate or transactional law should have a working knowledge of when securities laws are implicated and the key requirements when raising capital.  Structuring a private placement, whether it be for a “friends and family” round, a strategic investment, venture capital or institutional investment, or in connection with fundraising for a private fund, requires an understanding of the available offering exemptions and other regulations under federal and applicable state securities laws given the potential consequences of failing to abide by the same.    
This seminar will review key legal and practical considerations in assisting a private company client with raising capital.  We will review common scenarios requiring compliance with an exemption from the registration requirements under the Securities Act and State securities laws as well as the most frequently utilized exemptions from registration under Securities Act and State securities laws. We will also discuss other matters related to such offerings, such as disclosure and anti-fraud obligations, use of broker-dealers to sell securities, exit strategies, transfer restrictions and rights of those who purchase securities. 
The main goal of the program is to demystify the private capital raise process and to help you and your clients better understand the applicable securities laws and regulations.
