This fundamentals program will focus on the twists and turns of a healthcare-based transaction. Our panel of attorneys, experienced in transactional, regulatory, and reimbursement issues, will provide a general overview of relevant laws and regulations, then walk through a case study of a healthcare transaction.  The walk through will examine the factors that lawyers and their clients must consider when negotiating, structuring, and closing a healthcare deal.  Areas of concern include due diligence issues, fraud and abuse analysis, change of ownership considerations (e.g., with regard to state licensure, as well as Medicare and Medicaid), tax-exempt implications, valuation matters, and transaction structure (e.g., asset purchase vs. stock purchase or merger).
