Description: In most contract negotiations, the key to getting a “good” contract is to identify and understand specific “risk-shifting” provisions of the contract.  In this presentation, we will discuss strategies for addressing key contractual provisions, such as indemnification, termination, and change order processes. We will look at these provisions from the stronger party’s point of view, and from the weaker party’s; we will analyze and prioritize the risks involved; and then discuss the subtleties of agreeing on a final provision.
 
This presentation will be a concise, practitioner-level look at negotiating key contract provisions that affect companies every day. It will provide useful insights for anyone who has to review or negotiate contracts, including project owners, general contractors, subcontractors, professional service contractors, and the attorneys who draft and negotiate for them.

Speakers:

Barry P. Kaltenbach is a seasoned construction law attorney with more than a decade of courtroom experience.  Mr. Kaltenbach’s in-depth knowledge of the construction industry allows him to provide valuable counsel to owners/developers, general contractors, subcontractors, material suppliers and design professionals involved in private and public construction projects.  He has prosecuted and defended construction delay and defect claims for a diverse roster of private and public construction projects, including interstate highway rebuilds, residential high rises, warehouses and workshops, water purification facilities, and hospitals. He also has represented mechanics lien claimants in asserting, recording and foreclosing their claims, and has substantial experience representing construction owners and contractors during contract negotiations, review and revision.
 
Todd K. Masuda conducts a general business law practice that emphasizes commercial contract negotiations and employment law compliance. He represents nonprofits and closely-held businesses in a variety of sectors, including manufacturing and industry, professional and creative services, tech startups, and bar-restaurants. 
 
Gregory L. Shelton concentrates his practice in the area of construction litigation. In 2010, Greg was appointed by the Construction Law Section of the North Carolina Bar Association to serve as managing editor of the North Carolina Construction Law Deskbook, which is the definitive treatise on construction law in North Carolina. Greg regularly speaks at seminars on a variety of topics relevant to the industry and has authored many legal articles.
